XTransfer一般用户条款与条件
1.本协议范围及阅读原因
在开始使用我们的服务之前,请仔细阅读本协议。本协议(与其中引用的文件一起)会告知您我们是谁,我们将如何向您提供服务,如何变更或终止本协议,如果出现问题应该怎么做以及其他重要信息。
本协议是用英语书写的。我们可能会将其翻译成其他语言。如果本协议的翻译版本与英语版本之间发生冲突,将以英语版本为准。
使用我们的服务即表示您确认接受并同意遵守本协议的条款和条件。如果不同意,您将不能使用我们的服务。
我们建议您打印一份本协议的副本以供参考。您随时可以在我们的网站上查看最新版本。
本协议中引用了以下附加文件,这些文件在您使用我们服务的过程中也同样适用:
  • 我们的隐私与安全政策,其中规定了我们从您处收集、或者您提供给我们的任何个人数据进行处理的相关条款。使用我们的服务即表示您同意进行相关收集、使用、披露和处理,并且保证您提供的所有数据真实准确。该政策同时也就我们网站上关于“cookies”的信息及使用做了相关规定;
  • 根据您选择使用的服务,可能还适用其他附加的条款和条件。在您开始使用这些服务之前,我们将向您告知这些条款和条件。
定义
  • 协议 是指本协议中的条款和条件,包括任何引用文件或附件。
  • 收款人 是指向您提供货物和/或服务的任何第三方供应商。
  • 收款人银行账户 是指您向XTransfer提供的用于支付的收款人银行账户。
  • 营业日 是指除了周六、周日或香港公众假日以外,香港金融机构通常开门营业的一天。
  • 收款代理服务 是指XTransfer或其服务提供商代表您收取资金,在每种情况下,此类收款每次都会由您按照 XTransfer规定的适用要求单独确认。
  • 费用 是指您为了使用我们的服务应当向XTransfer支付的费用。
  • 资金 是指在本协议项下提供服务的过程中,XTransfer或其服务提供商代表您从第三方收到的任何金额或钱款。
  • 香港 是指中华人民共和国香港特别行政区。
  • 支付代理服务 是指在每种情况下, XTransfer代表您执行的个人支付订单,该支付服务应在适用于我们的要求范围内,并且为免生疑问,不包括与外汇交易有关的任何付款。
  • 服务 是指本协议5(a)条款中列出的服务列表,并包括在本协议项下可能是由XTransfer不时提供的其他产品、服务、内容、特性、技术或功能以及所有相关的网站和服务,分别称为“服务”。
  • 服务提供者 是指在提供XTransfer服务的过程中,XTransfer使用的银行、支付服务提供商、清算网络和其他第三方支付处理服务提供商。
  • 用户银行账户 是指您向XTransfer提供的您的或您授权的进出口代理商代表的银行账户(我们已经预先授权),用于结算您XTransfer账户中的资金。
  • 网站 是指我们向您提供服务的任何网址,包括但不限于www.xtransfer.cn。
  • XTransfer 是指XTransfer集团,包括XTransfer Limited,一家香港公司,和XTransfer UK Limited,一家英国公司,以及所有的子公司或关联公司。
  • XTransfer账户 是指一个以您的名义注册的唯一分类账户,记录XTransfer为您收取的资金金额。
  • XTransfer证书 是指XTransfer分配给您的银行账号,您的付款人可以向该账号发送资金。
2.关于XTransfer
XTransfer集团包括XTransfer Limited,一家香港公司,和XTransfer UK Limited,一家英国公司,以及所有的子公司或关联公司。XTransfer Limited是一家由香港海关关长许可的金钱服务运营商(许可证号:17-10-02216)。
3.适用法律和争议解决
本协议受香港法律管辖并根据香港法律进行解释。由于本协议引起或与之相关的任何争议、争论、分歧或索赔,包括存续、有效性、解释、履约、违约或终止或关于本协议的非合同义务引起的任何争议,将提交到香港国际仲裁中心(“HKIAC”),根据HKIAC现行的仲裁规则通过仲裁进行最终裁决。仲裁地为香港。仲裁员人数为一(1)人。仲裁程序应当以英语进行。
4.XTransfer注册
a)创建您的账户
所需信息
在我们向您提供XTransfer证书前,需要您向XTransfer提供注册XTransfer账户需要的所有信息。
您承认法律要求我们对您进行所有必要的安全和客户尽职调查,以便为您提供服务。您可能需要提供额外信息(以我们可以接受的格式),以便我们验证您的身份,这也是为您注册XTransfer账户、处理您的支付订单或向您提供服务的前提条件。您授权我们能不时获得一份或多份您的信用报告,以建立、更新、延续您的XTransfer账户,或处理与本协议相关的争议和/或您XTransfer账户下的活动。
我们有权要求提供额外信息,包括但不限于注册XTransfer账户的企业的股东、实益拥有人和/或高级管理层(董事或同等)的信息。您同意在您的XTransfer账户中对这些信息保持更新。您必须通过登录您的XTransfer账户更新这些信息,向XTransfer告知关于所有权或管理层的任何变化。我们可能会直接或通过任何第三方进行我们认为必要的任何查询,以证实您向我们提供的信息的真实性和准确性,包括使用保密方式检查商业数据库或信用报告。
您在注册过程中或之后的任何时间提供的所有信息必须是完整、准确和真实的。如果这些信息发生变更,您可以登录您的XTransfer账户更新您的资料和/或信息。我们在任何时候都可以出于某个原因拒绝或停止向任何人或实体提供服务,详见本协议第6条所述。
账户注册
您将只能注册一个XTransfer账户,除非我们明确批准您注册额外账户。XTransfer可以拒绝为同一用户创建重复账户。如果检测到重复账户,XTransfer可以对这些重复账户进行关闭或合并,且无需向您发出通知。
作为注册程序的一部分,您将需要接受本协议、我们的隐私与安全政策以及可能包含在注册过程中的其他XTransfer政策。XTransfer有权拒绝开立或更新XTransfer账户,我们也保留在任何时候自行决定终止或限制您的XTransfer账户的权利。
您将能查看代表您收取的资金、适用的任何费用、可用的促销和从您的XTransfer账户中提取的交易等的相关信息。请您定期检查这些信息,并通过联系XTransfer客服尽快报告任何差异或澄清任何问题。
b)授权代表和资格
如果 XTransfer帐户注册是由您的代表进行的,您必须向 XTransfer 提供 XTransfer 所要求的相关文件,以证明该代表根据适用法律已被您合法授权代表您签署本协议 (例如授权书)。 您必须确保您的授权代表年满18岁或以上, XTransfer可能会要求提供您授权代表的年龄证明。
您必须在XTransfer保持良好信誉,才能使用XTransfer的服务。
c)您的责任
管理您的账户
您必须确保记录在您XTransfer账户上的信息始终是准确和最新的,否则,我们将不会为由此导致的任何损失承担责任。我们可以在任何时候要求您确认您信息的准确性或提供文件或其他证明。
我们可能会通过您注册的电子邮件或其他方式(例如通过电子邮件或XTransfer账户内的电子通信)与您联系,告知与您的XTransfer账户相关的信息或通知。如果您没有维护或检查自己的电子邮件或其他通信方式,可能会错过关于您的交易和我们的服务的电子邮件和/或其他通信内容。由此产生的任何结果或损失,我们不承担任何责任。
保证您的账户安全
我们已经采用了商业上合理的管理和技术程序和手段,以保护您的个人信息免受意外损失和未经授权的访问、使用或披露。但我们不能保证未经授权的第三方将永远无法击败这些措施或将这些个人信息用于不正当的目的。
您使用的XTransfer额外的产品或服务可能会有额外的安全要求,您必须熟悉我们告知您的相关要求。
请切勿向任何第三方披露您的XTransfer账户密码或您的客户参考号。请保证它们的安全并定期更新您的密码。我们绝不会要求您向我们或第三方提供您的密码。如果有任何人询问您的密码,请告知我们,如果您有不确定的情况,请联系service@xtransfer.cn。如果您需要额外的支持,请联系我们。切勿让任何人登录您的XTransfer账户或者看到您登录XTransfer账户。
如果您怀疑自己的XTransfer账户、登录详细信息、密码或其他安全特性被盗、丢失、被未经授权使用或盗用,我们建议您更改密码。我们需要您定期检查自己的XTransfer账户的交易记录。如果发生任何未授权、错误或不正确的交易,或怀疑您的XTransfer账户被盗用时,请立即联系 service@xtransfer.cn。任何不当的延迟通知不仅会影响您XTransfer账户的安全性,而且需要您对相应的财务损失负责。
5.XTransfer服务
a)服务范围
XTransfer是一家金钱服务代理商,提供在线收款代理服务和支付代理服务,可代表您代收代付用于您的商品或服务销售和采购的资金。每个收款代理服务和支付代理服务都是一个单独的合同。
您需要一个XTransfer账户才能使用我们的服务。您的XTransfer账户不构成一个银行账户或其他金融工具。但是,您可以通过登录您的XTransfer账户来访问您的注册用户信息、交易历史记录以及与您使用服务相关的其他信息。
当您注册账户时,即表示同意向我们提供完整准确的信息。我们的服务用于对商业活动进行收付款,不得用于不基于任何商业交易的个人支付或汇款。您不得向第三方转让或转移您使用服务的权利,或者以其它方式向任何第三方授予您使用服务相关的合法或公平权益。
XTransfer服务可能包括以下部分或全部服务,这些服务可能会不时发生变化:
  • 支付代理服务 - 根据通过您的XTransfer帐户发出的指示,向您提供汇款服务(例如向您的供应商付款);
  • 收款代理服务 – 代表您接收您买家的付款;
  • 外汇服务 – 资金的货币兑换;
  • 以选定的可用货币将资金结算至您的用户银行账户;
  • 您可以在XTransfer网站上通过您的XTransfer账户查看和管理交易活动;
  • XTransfer不时提供的任何额外服务。
XTransfer并不是您或您的付款人/收款人的共管代理或利益相关者。XTransfer对您企业的任何产品、服务或任何其他部分均不承担责任。您对您的产品、服务、客户承担专属责任,并且应当赔偿XTransfer并使其免受您的客户、供应商、员工、代理、承包商对XTransfer提出的任何索赔。
XTransfer账户不是银行账户。您的XTransfer账户中的资金不会产生利息。接受本协议,即表示您承认XTransfer被授权保留Xtransfer代表您收取的任何资金总额产生的任何利息。将根据您的要求披露因此产生的任何此类利息。
所有要收取的资金必须与您提供的货物或服务的付款有关,并且必须从第三方收取。您同意您不会将自己的资金存入您的XTransfer帐户。
您全权负责向所有适用的政府税务机关报告所有适用于您收到的所有资金的任何适用税款。
我们保留随时终止您XTransfer账户或服务的权利。您也可以随时取消您的服务,但需提前30天通知我们。严禁将服务用于任何非法目的,包括但不限于欺诈和洗钱。禁止您在任何企图滥用、利用或规避任何法律或法规的情况下使用服务。
资金保障
资金是您的财产。但是,XTransfer将把资金存入XTransfer名下的一个指定的基础银行账户,仅用于提供服务。因此,除了注册用户和XTransfer以外,任何个人或实体均没有与资金相关的任何权利。该基础银行账户中的资金将与Xtransfer提供服务的其他用户的资金合并和汇总。
XTransfer已经采取了商业上合理的管理和技术措施来保护和保障资金,包括将资金存放在与XTransfer公司自有资金分离的指定银行账户中,从而不会将其用于运营费用或任何其他公司用途。根据不同司法管辖地的法律和法规,可能会要求XTransfer对资金采取额外的保障措施。
b)通过XTransfer支付代理服务进行付款
支付代理服务下的每个支付指示都是您与XTransfer之间的单独合同。您可以向您的收款人付款。在这方面,您可以指示我们代表您付款。付款的费用将在您发出该指示之前提供。
您的支付订单
您必须通过您的XTransfer账户在线提交支付订单。
为了通过您的XTransfer账户建立支付订单,您必须向我们提供一些信息,包括但不限于:
  • 收款人全名;
  • 您收款人银行账户的详细信息;
  • 转账金额和货币;
  • 帮助收款人识别付款的发票参考;和
  • 当XTransfer认为必要时提供发票副本;
您的支付订单可能会受到最大支付金额的限制。我们可能会在网站上不时发布,通知您该限额的调整。
您有责任确保收款人的银行详细信息的准确性和完整性。
当我们收到您的支付订单后,我们将向您的注册电子邮箱或通过您的XTransfer账户以其他方式向您发送收款确认。每个支付订单都有一个唯一的交易编号并且显示在您XTransfer账户的交易历史记录中。当您与我们就某个支付订单进行沟通时,请提供该交易编号。
执行您的支付订单
只有当我们已经收到您的全部转账金额和我们的费用之后,我们才会处理您的支付订单,您可以通过授权我们借记代表您持有的可用资金,银行转账和我们接受的其他方式支付我们。如果您授权我们从代表您持有的资金中扣除,您有责任确保您有足够的资金涵盖您的支付订单和任何相关的费用。我们将在每次借记后更新您的XTransfer帐户。
我们会执行验证检查,这些检查可能会延长您的支付订单的处理时间。由于执行这些检查而造成的任何延误,我们不承担责任。
您的支付订单的估计完成时间不在XTransfer的控制范围内,可能需要一到十五(1-15)个营业日。XTransfer对需要的时间不提供任何保证。
拒绝您的支付订单
如XTransfer确定付款会违反适用法律或使XTransfer处于过高的安全、财务或信誉风险中,我们可能会暂时扣留支付订单。根据适用法律的要求,相关资金也可能会被没收。
如果我们无法完成您的支付订单,我们将通知您,并尽可能告知您拒绝的原因并解释如何纠正任何事实性错误。但如果这种通知是非法的或会导致XTransfer违反其适用的规则或法规,我们将不需要通知您。
我们可自行决定随时拒绝进行支付代理服务交易或更改条款。
取消您的支付订单
如果我们还没有处理您的支付订单,您可以进行取消。当资金已经扣除和/或我方已经发出支付订单时,您将不能取消您的支付订单。
您的支付订单中的错误
您必须确保您在设置支付订单时提供的信息是准确的。如果由于您提供了错误的付款信息导致我们将资金发送到了错误的收款人银行账户,我们对此将概不负责。如果XTransfer收到了不准确的付款信息并导致付款之后被拒收,XTransfer会向您收取相关费用,我们可以从您的资金中扣除该费用。
如果进行了任何错误或误导付款,我们将采取合理措施帮助您进行追踪,并且在合理可行的情况下追回这些付款,但我们不对无法追回的任何付款承担责任。
额外费用和收费
在某些情况下,中介(如代理银行)可能会扣除收费或费用。我们将尽合理努力避免这些费用,或确保在我们付款前向您告知这些费用,但如果无法避免或预期此类费用,您同意承担此类收费或费用。在任何情况下,我们不对中介、代理或收款银行或任何其他第三方费用或收费造成的任何直接或间接损失负责。
c)通过XTransfer收款代理服务接收付款
获得您的XTransfer证书
收款代理服务使您可以从您的付款人那里接收资金。在申请XTransfer服务证书后,您将获得通过该服务接收资金所需的信息。您可以向您希望通过服务获得付款的付款人提供XTransfer证书。对于每个收款代理服务交易,您必须在XTransfer执行交易之前,通过释放资金并更新XTransfer帐户中的条目,单独确认该交易的详细信息。XTransfer可能会收取收款代理服务交易的费用,并在交易前向您提供该费用的详细信息(如适用)。
请注意,XTransfer依赖服务提供商向您提供服务。您同意避免与涉及支持服务的任何服务提供商进行任何直接联系。如果您关于我们的服务与银行或其他服务提供商进行任何直接联系,可能导致您立即终止使用该服务。
拒绝款项入账
本服务将只按照您在XTransfer账户中设置的货币接受付款金额。我们保留在任何时间拒绝部分或全部款项入账的权利。拒绝款项入账的原因包括但不限于违反相关法规或XTransfer的合规政策,或者我们注意到进入账户的付款不是来自第三方,而是来自您自己名下的其中一个账户。如拒绝入账,XTransfer无任何义务披露拒绝的原因。
资金到账通知
付入款项到达XTransfer的时间不受XTransfer的控制。XTransfer应尽最大商业上合理的努力,通知您付入款项资金的到账。XTransfer不保证这些信息的准确性、完整性或及时性。
资金申领
在您提交结算资金至您的用户银行账户的申请之前,您必须向XTransfer提供交易合同或形式发票的副本对所收资金进行申领。未在90天内付清的资金将退还至付款来源。XTransfer保留对任何退回的付款收取费用的权利,并且不对退回过程中发生的任何损失负责。
d)外汇服务
XTransfer提供外汇服务。每笔外汇交易都是您和我们之间的一个单独合同。代表您持有的资金可以被兑换为选定的可用货币,以便分别向您的银行账户付款或取款。
执行过程
任何外汇交易订单(买入或卖出)只能由您通过您的XTransfer账户进行,我们将通过电子邮件、短信或通过您的XTransfer账户的消息确认关键细节,包括买卖货币金额、报价汇率和任何相关的费用或传输成本。您必须通过您的XTransfer账户接受所有提供的条款,并且您只能使用您账户中可用的资金进行任何外汇交易。
汇率
当您要求货币兑换时, 我们会通知您汇率。
当我们在本协议中提及汇率时,是指来自各种来源且与要求兑换时选择的货币对(例如,英镑对欧元,美元对澳元)相关的XTransfer汇率。我们可能会不时更改我们的参考汇率提供方,恕不另行通知。
限制
在任何时候,XTransfer都不支持为投资或投机目的而进行的外汇交易,例如试图从汇率波动中获利,如果这是您的意图,您必须告知我们。如果我们有理由相信您将任何外汇交易用于投资或投机目的,我们可在不另行通知的情况下拒绝对应您和/或暂停访问或关闭您的XTransfer账户。
XTransfer没有义务接受您的指示进行外汇交易,并保留拒绝与您进行特定外汇交易的权利。
接受我们的报价,并不自动保证我们已接受兑换。只有确认邮件或消息可以。
取消
一旦通过您的在线XTransfer帐户发起并确认了兑换请求,如果我们已经向您发送了确认邮件或消息并开始了兑换过程,则无法取消。
e)结算资金至您的用户银行账户
用户银行账户的预先批准
为了将您的资金结算到您的用户银行账户,您必须登录您的XTransfer账户并提交资金结算的申请。在从您的XTransfer账户向您的用户银行账户进行结算之前,我们需要您提供您的用户银行账户的详细信息。我们可能需要确保您始终在持有账户的金融机构拥有良好声誉。
为了获得资金结算,您必须拥有一个XTransfer预先批准的用户银行账户。您不得请求向未经预先批准的任何银行账户进行结算。
本服务不支持个人与个人转账功能,您只能在您的用户银行账户接收资金。
资金结算
代表您收取的资金应结算至您的用户银行账户。根据您的指示,并且在您满足XTransfer的相关要求的条件下,XTransfer可允许资金结算至您的授权进出口代理商的银行账户。为此目的,任何此类结算将被视为向您付款,并且XTransfer向您结算资金的义务在向您的授权进出口代理商付款后终止。XTransfer有权接受或拒绝将资金支付到某些结算账户上。XTransfer保留从您进行结算的资金中扣除您欠XTransfer资金的权利,包括但不限于本协议项下的所有应付费用。
根据可用性,资金可以不同币种进行结算。如果您希望以不同货币结算,可以在资金结算到您的用户银行账户之前选择可用的币种。在结算后,不能使用XTransfer进行外汇兑换。
如XTransfer或其服务提供者之一认为结算将违反适用法律或使XTransfer或我们的服务提供商处于过高的安全、财务或信誉风险中,我们将会暂时扣留您的资金。如果收款银行因产生的纠纷提出召回请求,我们也保留扣留资金的权利。在这种情况下,我们将全面调查,您同意与我们合作,直到我们结束调查。根据适用法律的要求,相关资金也可能会被没收。
您必须确保您的用户银行账户信息是正确和准确的。如果由于您提供了错误的银行账户信息导致我们将资金发送到了错误的银行账户,我们对此将不承担责任。如果XTransfer收到了不准确的付款信息并导致付款之后被拒收,XTransfer会向您收取相关费用,我们可以从您的资金中扣除该费用。如果进行了任何错误或误导付款,我们将采取合理措施帮助您进行追踪,并且在合理可行的情况下追回这些付款,但我们不对无法追回的任何付款承担责任。
为了完成结算,XTransfer会依赖第三方银行或与我们签有支付协议的同业或本地支付提供商,这些机构在各自的司法管辖区内受到监管并且遵守当地法律。
结算时间不受XTransfer的控制,可能需要二到十五(2-15)个营业日。XTransfer对结算所需时间不提供任何保证。
我们会执行验证检查,且这些检查可能会延长您结算的处理时间。由于执行这些检查,我们将无法对任何延误负责。
XTransfer将按照您选择的金额并减去其他服务提供商可能收取的任何费用向您的用户银行账户发起结算。您的银行收取的任何费用将不属于XTransfer的责任。除非结算错误/未完成,否则结算到您用户银行账户上的资金将不会退回至XTransfer。
f)访问我们的服务
我们将尽力确保在您需要时向您提供服务。但我们不能保证我们的服务始终可用或无中断。我们会暂停、撤销、中止或更改我们的所有或部分服务,恕不提前通知。您有责任对访问我们的服务进行所有必要的安排。
“按现状”提供XTransfer服务。XTransfer及其服务提供商在此放弃任何形式的明示或暗示保证,包括但不限于关于适销性、适用于特定目的和非侵权的保证。XTransfer或其服务提供商均未保证我们的服务不会出现错误,或者访问将是连续或无中断的。您已了解,且在您自行决定并承担风险的情况下使用我们的服务或获得相关内容。
6.终止/暂停
a)您终止服务的权利:
您可以在任何时候提前30天书面通知我们终止您的XTransfer账户。终止通知必须从您在我们这里登记的正式电子邮件地址发送到service@xtransfer.cn。在终止生效之日:
  • i) 您将立即停止对XTransfer账户的所有使用,并将退回包含或关于XTransfer账户的任何文件、说明和其他材料;
  • ii) 您在本协议项下使用服务的所有付款义务将立即到期应付;
  • iii) 我们将立即退还我们在您的用户银行账户持有的您的任何资金(您应当负责随时保持用户银行账户详细信息的更新和准确性);和
  • iv) 为避免疑义,任何一方的终止均不会影响之前已经进行的任何条款,也不会免除任何一方由于本协议产生的任何未尽义务。本协议所有根据其性质在终止时应当存续的条款在协议终止后应继续有效,包括但不限于所有权条款、保证免责声明、赔偿和责任限制。
b)XTransfer提出终止/暂停服务:
我们保留终止您XTransfer账户或任何相关服务的权利。
如果发生以下情况,我们可随时暂停或终止您的XTransfer账户并且无需发出通知:
  • i) 您违反了本协议或本协议引用文件的任何条款;
  • ii) 我们有理由相信您违反了任何适用法律或法规;
  • iii) 法律、政府主管部门、公共机构或执法机构要求或指示我们这么做;
  • iv) 我们有理由相信您参与了任何欺诈活动、洗钱、恐怖主义融资或其他犯罪和/或非法活动。
  • v) 我们相信您的XTransfer账户已被盗用或出于其他安全原因;或者我们怀疑在没有得到您授权的情况下或以欺诈方式使用了或正在使用您的XTransfer账户。
严禁将XTransfer服务用于任何非法目的,包括但不限于欺诈、贿赂、洗钱或恐怖主义融资。严禁在使用XTransfer服务时有任何滥用、利用或规避法律法规的尝试或行为。
7.费用
XTransfer在XTransfer网站上公布了提供服务的价格,并通过您的XTransfer账户向您发出通知。XTransfer可以自行决定不时修改对服务收取的费用。服务也可以通过退款、费用折扣或奖金形式提供促销。如果您有任何问题或对费用有任何疑惑,请通过service@xtransfer.cn联系XTransfer客服。
在向您的用户银行账户结算之前,将从您XTransfer账户显示的代表您持有的资金余额中扣除适用费用。XTransfer将不时提供所收取费用的清单。
8.激励(推广)计划
XTransfer将根据自行决定不时推出推广计划。所有此类计划均有与各个计划相关的条款和条件,并将通过我们的网站和/或公司的任何其他通信方式通知您(客户)。
如果我们怀疑违反了条款或者我们确定任何活动属于滥用性质,XTransfer有权中止和删除对推荐计划的访问或拒绝给予奖励。我们还保留随时修改激励计划的权利。
9.投诉/争议
如果您对我们或我们的服务有任何投诉,可以首先发送电子邮件至service@xtransfer.cn与我们联系。
我们将尽最大努力及时处理您的投诉。
10.我们的责任限制

a)IT和基础设施
因病毒或其他技术攻击或有害物质引起您的计算机设备、计算机程序、数据或其他与您使用我们服务有关的专有材料的感染,并导致您面临损失或损害的,我们将不负任何责任。
我们无法控制链接到我们网站的其他网站,因此我们对它们的内容以及由于您使用它们导致的任何损失或损害不承担任何责任。
如果由于我们的错误导致未经授权的结算或错误,我们将根据您的要求进行退款,包括我们扣除的所有费用。本条款不适用于:
  • i) 如果您没有通过我们网站上发布的紧急号码立即向我们通知您的XTransfer账户(如密码丢失)的安全问题;

  • iii) 如果在您发送结算请求之日起的6个月内没有向我们告知未经授权或错误的已完成交易。
如您在通过紧急联络电话通知我们后发出结算申请,则上述第(i)项将不适用。在该情况下,我们仍将对任何未经授权的交易承担责任并向您进行赔偿。
此外,我们需要您定期检查您XTransfer账户的交易记录,如果有任何问题或疑问,请立即联系客服。
如果发生任何错误或误导结算,我们将采取商业上的合理努力帮助您跟踪和追回这些结算。如果事情在我们的控制范围以外,我们(和我们的关联公司)将不会对无法或延迟追回承担责任。
如果由于您违反本协议、任何适用法律或法规和/或您使用我们的服务导致损失、索赔、成本和费用,您同意对我们和我们的关联公司进行全额赔偿并保护我们免受损害。在双方关系终止后本条款仍将继续有效。
b)相关合作伙伴
XTransfer将不对任何第三方服务提供商导致的损失或损害承担责任。
11.赔偿
您完全同意赔偿并使XTransfer和其服务提供商及他们各自的董事、高管、员工和代理不承担任何索赔和费用,包括由于您使用XTransfer服务导致的律师费,包括但不限于您违反本协议的情况。
12.隐私
我方收集贵方信息的主要目的在于向贵方提供一个安全、流畅、有效和定制化的体验。
我们和我们的第三方服务提供商会通过cookies、网络信标和其他技术自动收集您使用我们的网站和在线服务的信息。
我方可能会在贵方使用我方服务时收集和保存贵方向我方提供的任何信息,包括贵方在网页表单上添加信息、添加或更新贵方的账户信息、参与争议解决,或以其他方式就我方的服务与我方进行通信。
在开设XTransfer账户时,我们需要获得您的同意,我们可能会与第三方分享您的信息,包括服务提供商、被监管机构(如金融机构)、附属实体以及合作伙伴。

13.变更/修改
(a) 除非以下第(c)项规定,我们可以通过您的注册电子邮件提前30天向您发送书面通知并在我们的网站上进行发布以变更本协议。如果我们这样做,您可以在通知期内向我们发出书面通知立即终止本协议。如果我们在通知期内未收到您的通知,将视您接受了拟议变更,并且将从变更生效之日起对您适用。
(b) 如果您不同意我们的变更,在指定通知期后您将不得继续使用XTransfer服务。如果您继续使用我们的服务将会受到新条款的约束。但在变更前发生的任何争议都将受到争议发生时有效的条款和条件的约束。
(c) 本协议的变更如(1)将对您更有利;(2)适用法律要求;或(3)将对现有服务增加一项新服务或额外功能;或(4)将不会减少您的权利或增加您的责任时,凡在变更通知中说明的,都将立即生效。
14.在线协议
在您注册服务时,将通过我们的网站向您在线提供本协议。通过点击“我确认”或类似按钮、注册、访问或使用服务(统称“表示同意”),即表示您与XTransfer签订了具有法律约束力的协议并且您同意接受本协议中规定的条款和规则。如果在您表示同意后,您与XTransfer同意签署本协议的纸质文件形式,则本协议的纸质文件形式也将有效,并且从您第一次表示同意之日起追溯有效。如果本协议的在线版本与纸质形式之间有不一致,将以在线版本为准。
XTransfer General User Terms and Conditions
1.Scope of this agreement and why you should read it
Please read this Agreement carefully before you start to use our Services. This Agreement (together with the documents referred to in it) tells you who we are, how we will provide the Services to you, how this Agreement may be changed or ended, what to do if there is a problem and other important information.
This Agreement is written in English. We may translate it into other languages. In the event of a conflict between a translated version and the English version of this Agreement, the English version will prevail.
By using our Services, you confirm that you accept and agree to comply with the terms and conditions of this Agreement. If you do not agree, you must not use our Services.
We recommend that you print a copy of this Agreement for future reference. You can always view the most current version on our Website.
This Agreement refers to the following additional documents, which also apply to your use of our Services:
  • Our Privacy and Security Policy, which sets out the terms on which we process any personal data we collect about you, or that you provide to us. By using our Services, you consent to such collection, use, disclosure, and processing, and you warrant that all data provided by you is accurate. The policy also sets out information about the ‘cookies’ on our Website.
  • Depending on the Services you choose to use with us, additional terms and conditions may apply, as communicated to you before you start using such Services.
Definition
  • Agreement means the terms and conditions herein, in addition to any referenced documents or attachments.
  • Beneficiary means any third party who acts as a supplier of goods and/or services to you.
  • Beneficiary Bank Account means the Beneficiany’s bank account you provide to XTransfer into which you intend to make a payment.
  • Business Day means a day other than a Saturday, Sunday or a public holiday in Hong Kong when financial institutions in Hong Kong are ordinarily open for business.
  • Collection Agent Service means the collection of Funds by XTransfer or its Services Providers on your behalf where in each case, such collection has been individually confirmed by you in accordance with applicable requirements set out by XTransfer.
  • Fees means charges payable to XTransfer from you for our Services.
  • Funds means any amount or money received from third party on your behalf by XTransfer or its Service Providers in the course of supplying the Services under this Agreement.
  • Hong Kong means the Hong Kong Special Administrative Region of the People’s Republic of China.
  • Payment Agent Service means in each case, an individual payment order executed by XTransfer on your behalf where such payment services are within the scope of the requirements applicable to us and for the avoidance of doubt excluding any payments in connection with the performance of a foreign exchange transaction.
  • Services means the list of services set out in Clause 5(a) of this Agreement and includes such other products, services, content, features, technologies or functions and all related websites and services that may be offered by XTransfer from time to time under this Agreement, and each a “Service”.
  • Service Providers means banks, payment service providers, clearing networks and other third party payment processing services used by XTransfer in the course of supplying the Services.
  • User Bank Account means your or your authorised import/export agent representative’s bank account you provide to XTransfer (which we’ve pre-authorised) into which the funds in your XTransfer Account will be settled.
  • Website means any URL, including but not limited to www.xtransfer.cn, through or on which we provide the Services to you.
  • XTransfer means XTransfer Group, consisting of XTransfer Limited, a Hong Kong corporation, and XTransfer UK Limited, a UK corporation, along with all its subsidiaries or related companies.
  • XTransfer Account means a unique account ledger registered under your name and which records the amount of Funds collected by XTransfer for you.
  • XTransfer Credentials means the bank account number(s) XTransfer assigns to you into which your payers could send the Funds.
2.About XTransfer
XTransfer Group consists of XTransfer Limited, a Hong Kong corporation, and XTransfer UK Limited, a UK corporation, along with all its subsidiaries or related companies. XTransfer Limited is a Money Service Operator authorized by the Commissioner of Customs and Excise, HK (license No: 17-10-02216).
3.Applicable Law and Dispute Resolution
This Agreement is governed by and shall be construed in accordance with the laws of the Hong Kong. Any dispute, controversy, difference or claim arising out of or relating to this Agreement, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligation arising out of or relating to it shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (“HKIAC”) under the HKIAC Administered Arbitration Rules in force. The seat of arbitration shall be Hong Kong. The number of arbitrators shall be one (1). The arbitration proceedings shall be conducted in English.
4.Register with XTransfer
a)Create your account
Information required
We require that you provide XTransfer with all information required to register for an XTransfer Account before we provide you with XTransfer Credentials.
You acknowledge that we are required by law to carry out all necessary security and customer due diligence checks on you to provide the Services to you. You may need to provide additional information (in a format acceptable to us) so we can verify your identity as a condition of registering your XTransfer Account, processing your payment order, or providing our Services to you. You authorise us to obtain one or more of your credit reports, from time to time, to establish, update, or renew your XTransfer Account with us, or in the event of a dispute relating to this Agreement and/or activity under your XTransfer Account.
We have the right to request additional information including, but not limited to, information on shareholders, beneficial owners and/or senior management (directors or equivalent) of the business registering for an XTransfer Account. You agree to keep such information up-to-date in your XTransfer Account. You must advise XTransfer regarding any change in the ownership or its management by logging onto your XTransfer Account to update the profile. We may, directly or through any third party, make any inquiries we consider necessary to validate information that you provide to us, including checking commercial databases or credit reports, using confidential means.
All information you provide during the registration process or any time thereafter must be complete, accurate and truthful. You can login to your XTransfer Account to update your profile and/or information, whenever it changes. We may refuse to provide, or discontinue, the Services to any person or entity at any time for a reason, as elaborated further in section 6 of this Agreement.
Account registration
You may only register for one XTransfer Account unless we explicitly approve the registration of additional accounts. XTransfer may refuse the creation of duplicate accounts for the same user. Where duplicate accounts are detected, XTransfer may close or merge these duplicate accounts without notification to you.
As part of the registration process, you will need to accept this Agreement, our Privacy and Security Policy and other XTransfer policies that may be included in the registration process. XTransfer holds the right to decline the opening or updating of an XTransfer Account and we also reserve the right to terminate or limit your XTransfer account at any point, at our sole discretion.
You will be able to see information regarding Funds collected on your behalf, any Fees applied, available promotions and transactions withdrawn from your XTransfer Account. You should check this information regularly and report any discrepancies or clarify any questions you have as soon as possible by contacting XTransfer customer support.
b)Authorized Representative and Eligibility
If the Xtransfer Account registration is conducted by a representative on your behalf, you must provide Xtransfer with relevant documents requested by XTransfer to evidence that such representative has been legally authorized by you to enter into this Agreement on your behalf under applicable law (e.g. an authorization letter). You must ensure that your authorized representative is 18 years or older, and XTransfer may request for evidence of your authorized representative’s age.
You must be in good standing with XTransfer in order to use XTransfer Services.
c)Your responsibilities
Managing your account
You must ensure that the information recorded on your XTransfer Account is always accurate and up to date, and we shall not be liable for any loss arising out of your failure to do so. We may ask you at any time to confirm the accuracy of your information or to provide documents or other evidence.
We may contact you by your registered email or in other ways (such as emails or electronic communications through your XTransfer Account) with information or notices regarding your XTransfer Account. If you don't maintain or check your email and other methods of communications, you may miss emails and/or other communications about your transactions and our Services. We shall not be liable for any consequence or loss arising from this.
Keep your account safe
We have implemented commercially reasonable administrative and technical procedures to protect your personal information from accidental loss and from unauthorized access, use or disclosure. However, we cannot guarantee that unauthorized third parties will never be able to defeat those measures or use such personal information for improper purposes.
Additional XTransfer products or services you use may have additional security requirements and you must familiarise yourself with those as notified to you.
Never disclose your XTransfer Account password or your customer reference number to any third party. Keep them safe. Change your password regularly. We will never ask you to provide your password to us or to a third party. Tell us if anyone asks for your password and contact service@xtransfer.cn if you are not sure. Contact us if you need additional support. You must never let anyone access your XTransfer Account or watch you access it.
If you suspect your XTransfer Account, login details, password or other security feature is stolen, lost, used without authorisation or otherwise compromised, you are advised to change your password. We rely on you to regularly check the transactions history of your XTransfer Account. Contact service@xtransfer.cn immediately in case of any unauthorised, incorrect, or misdirected transaction, or when you suspect that your XTransfer Account has been compromised. Any undue delay in notifying us may not only affect the security of your XTransfer Account but may result in you being responsible for financial losses.
5.XTransfer Services
a)Service Scope
XTransfer acts as a money services agent and provides an online Collection Agent Service and Payment Agent Service to receive and send, on your behalf, Funds for your sale & purchase of goods or services. Each Collection Agent Service and Payment Agent Service is an individual contract.
Use of our Services requires an XTransfer Account. Your Xtransfer Account does not constitute a bank account or other financial instrument. However, you may access information such as your registered user information, transaction history and other information related to such your use of the Services through logging into your Xtransfer Account.
You agree to provide us with complete and accurate information when you register for an account. The Services are intended to enable payments for commercial activities and must not be used for personal payments or remittances without any underlying commercial transactions. You may not assign or transfer your right to utilize the Services to a third party or otherwise grant any third party a legal or equitable interest in connection with your use of the Services.
The Services may include some or all of the following services, which may change from time to time:
  • Payment Agent Services - Providing a remittance service (for e.g. paying your supplier) to you, per instructions through your XTransfer Account;
  • Collection Agent Services - Receive payments from your buyers on your behalf;
  • Foreign Exchange Services - Currency conversion of Funds;
  • Funds settlement to your User Bank Account, in a selected & available currency;
  • You can view and manage transaction activity online through your XTransfer Account on the XTransfer website;
  • Any additional services that are made available by XTransfer from time to time.
XTransfer does not act as an escrow agent or stakeholder for you or your payer/payee. XTransfer assumes no liability to or in respect of any products, services or any other part of your business. You assume exclusive responsibility for your product, services, clients, and shall indemnify and hold XTransfer harmless from any claim by any of your clients, suppliers, employees, agents, contractors against XTransfer.
The XTransfer Account is not a bank account. Funds held in your XTransfer Account shall not bear interest. By accepting this Agreement, you acknowledge that XTransfer is authorized to retain any interest , that arises with respect to the sum of any Funds collected by XTransfer on your behalf. Any such interest so generated will be disclosed upon your request.
All Funds to be collected must relate to a payment for goods or services provided by you, and must be received from a third party. You agree that you will not deposit your own funds into your XTransfer Account.
You are solely responsible for reporting to all applicable government tax authorities all Funds received of any applicable taxes that apply to such Funds.
We reserve the right to terminate your XTransfer Account or Services at any time and you may cancel your Services at any time by giving us 30 days’ notice. It is strictly forbidden to use the Services for any illegal purposes including, but not limited to, fraud and money laundering. You are prohibited from using the Services in any attempt to abuse, exploit, or circumvent any law or regulation.
Safeguarding
Funds are your property. However, XTransfer will hold the Funds in a designed underlying bank account in its name for the sole purpose of providing the Services. Accordingly, apart from the registered user and XTransfer, no person or entity has any rights in relation to the Funds. The Funds in this underlying bank account will be comingled and pooled together with those of other users of Services offered by Xtransfer.
XTransfer has implemented commercially reasonable administrative and technical measures to protect and safeguard the Funds, including holding the Funds in a designated bank account segregated from XTransfer’s corporate funds and will not be used for its operating expenses or for any other corporate purposes. According to laws and regulations in different jurisdictions, XTransfer may be required to apply additional safeguarding measures on Funds.
b)Making payments via XTransfer Payment Agent Service
Each payment instruction under the Payment Agent Service is an individual contract between you and XTransfer. You can make payments to your Beneficiaries. In this regard you can instruct us to make a payment on your behalf. The Fee for making a payment will be provided before you make such instruction.
Your Payment Order
You must submit payment orders online via your XTransfer Account.
To set up a payment order via your XTransfer Account, you need to provide certain information to us including, but not limited to:
  • the full name of your Beneficiary;
  • your Beneficiary's Bank Account details;
  • amount to be transferred and currency;
  • an invoice reference that the Beneficiary can identify the payment; and
  • a copy of the invoice, when XTransfer deems necessary;
Your payment order might be subject to maximum sending amount limits. We may vary this limit from time to time by notification to you on our Website.
It is your responsibility to ensure the Beneficiary’s bank details are accurate and complete.
Once we have received your payment order, we will send you a confirmation to your registered email or in other ways through your XTransfer Account to confirm that we have received your payment order. Each payment order is given a unique transaction ID and is shown in the transaction history on your XTransfer Account. You should quote this transaction ID when communicating with us about a particular payment order.
Execution of your payment order
We will only process your payment order if we have received the full transfer amount and our Fees from you and you may pay us by authorizing us to debit available Funds held on your behalf, bank transfers and other means acceptable to us. If you authorize us to debit Funds held on your behalf, it is your responsibility to ensure you have sufficient Funds to cover your payment order and any applicable Fees. We will update your XTransfer Account following each such debit.
We carry out verification checks, and these checks may increase the time it takes to process your payment order. We cannot be responsible for any delays as a result of carrying out those checks.
The estimated completion time of your payment order is not in XTransfer's control and it may take one to fifteen (1-15) Business Days. XTransfer offers no guarantee on the time it takes.
Refusal of your payment order
Payment orders may be temporarily withheld in the event when XTransfer determines that payment would violate applicable laws or place XTransfer in excessive security, financial, or reputational risk. Funds may be forfeited as per the requirements of applicable laws.
If we are unable to complete your payment order, we will let you know and, if possible, inform you of the reasons for such refusal and explain how to correct any factual errors. However, we are not required to notify you if such notification would be unlawful or cause XTransfer to violate rules or regulations applicable to XTransfer.
We may, at our sole discretion, refuse to perform a Payment Agent Service transaction or alter the terms, at any time
Cancellation of your payment order
You may cancel your payment order if we have not already processed it. You cannot cancel your payment order once the Funds have been debited and/or the payment order has been sent from our end.
Errors in your payment order
You must make sure that the information you provide when setting up a payment order is accurate. We cannot be held responsible for funds being sent to the wrong Beneficiary Bank Account as a result of you providing incorrect payment details. In the event when XTransfer receives inaccurate payment information which is later rejected, you may be charged fees which we can deduct from your Funds.
In case of any incorrect or misdirected payment, we shall take reasonable measures to assist you with tracing and, if reasonably possible, recovering such payments, but we shall not be liable for any payments that cannot be recovered
Additional fees & charges
In some circumstances, intermediaries (such as correspondent banks) may deduct a charge or fee. We will use our reasonable efforts to avoid these charges or to otherwise ensure that such charges are disclosed to you prior to our making the payment, however where such charges cannot be avoided or anticipated, you agree to be liable for such charges or fees. We will not under any circumstances be liable for any direct or indirect losses that results from intermediary, correspondent or receiving bank or any other third party fees or charges.
c)Receiving Payments via XTransfer Collection Agent Service
Get your XTransfer Credential
The Collection Agent Service enables you to receive Funds from your payers. Upon applying for XTransfer Service Credentials, you will be provided with the information you need to receive funds through the Services. You will provide your XTransfer Credentials to your payers from whom you wish to receive payments through the Services. For each Collection Agent Service transaction, you must individually confirm the details of such transaction before XTransfer executes the transaction by releasing the Funds and updating the entries in your XTransfer Account. XTransfer may charge a Fee for Collection Agent Service transaction, and will provide you the details of such Fee (if appropriate) before the transaction.
Please note XTransfer relies on Service Providers to carry out the services. You agree to avoid any direct communication with any Service Provider that is involved supporting the Service. Any direct contact with a bank or other Service Provider regarding the Service may result in immediate termination of your use of the Service.
Reject Incoming Payment
Service will only accept payment amounts in the currencies you set up in your XTransfer Account. We reserve the right to reject partial or full payments at any time. Payments may be rejected for any reason, including but not limited to reasons relating to compliance related regulations or XTransfer’s compliance policies or if we note that the payment coming into the account is not from a third party but instead from one of your own named accounts. When rejecting a payment, XTransfer will be under no obligation to disclose the reason for the rejection.
Notification of Funds Arrival
The time it takes for inbound payments to reach XTransfer is not in XTransfer's control. XTransfer shall use commercially reasonable efforts to inform you of inbound payments of Funds. XTransfer offers no guarantee that such information will be accurate, complete or timely.
Claim Funds
You must provide XTransfer with a copy of the trade contract or proforma invoice to claim the Funds, before you can request a settlement of the Funds to your User Bank Account. Funds not paid out within the 90 days’ period, will be returned to the source of payment. XTransfer reserves the right to charge a Fee for any returned payments and is not responsible for any losses incurred during the return process.
d)Foreign exchange services
XTransfer offers foreign exchange services. Each foreign exchange transaction will be an individual contract between you and us. Funds held on your behalf can be converted into selected & available currencies for making a payment or withdrawal to your bank account respectively.
Execution process
Any order for foreign exchange transaction (either buy or sell) may only be made by you through your XTransfer Account and we will confirm key details through an email, SMS or a message through your XTransfer Account on the purchase/sale currency amounts, the quoted exchange rate and any applicable fees or transmission costs. All offered terms have to be accepted by you through your XTransfer Account, and you may only use Funds available for use in your account with respect to any foreign exchange transactions.
Exchange Rates
We will let you know the exchange rate, when you request a currency conversion.
When we refer to an exchange rate in this Agreement, it means XTransfer exchange rate which is derived from various sources and is relevant for the currency pair (for example, GBP to EUR, USD to AUD) selected at the time of requesting a conversion. We may change our reference rate provider(s) from time to time without notice to you.
Limitations
At all times, XTransfer does not support foreign exchange transactions entered into for investment or speculative purposes such as trying to profit from fluctuations in foreign exchange rates and you must tell us if that is your intention. We may, without further notice to you, decline to deal with you and/or suspend access to or close your XTransfer Account if we have reason to believe that you are using any foreign exchange transaction for investment or speculative purposes.
XTransfer is not obliged to accept an instruction from you to perform a foreign exchange transaction and reserves the right to decline to enter into a specific foreign exchange transaction with you.
Accepting a quotation from us, does not automatically guarantee a conversion has been accepted by us. Only a confirmation mail or message does.
Cancellation
Conversion requests once initiated and confirmed through your online XTransfer account cannot be cancelled if we have already sent you a confirmation mail or message and have begun the process of conversion.
e)Settlement to Your User Bank Account
Pre-Approval of your User Bank Account
In order to complete settlement of your Funds to your User Bank Account, you must log onto your XTransfer Account and request a Fund settlement. Before executing a settlement from your XTransfer Account to your User Bank Account, we require you to provide the details of your User Bank Account. We may seek to ensure you are in good standing with the account-holding financial institution from time to time.
In order to receive Funds settlement, you must have a User Bank Account that has been pre-approved by XTransfer. You must not request settlement to any bank account that has not been pre-approved.
The Service has no peer-to-peer functionality and you may receive Funds in only one place, your User Bank Account.
Funds Settlement
Funds collected on your behalf shall be settled to your User Bank Account. Under your instructions and provided that you fulfil relevant requirements of XTransfer, XTransfer may allow funds to be settled to your authorized import/export agent’s bank account, and for such purposes, any such settlement will be deemed payment to you and XTransfer’s obligation to settle Funds to you extinguishes upon payment to your authorized import/export agents. XTransfer has the right to accept or reject funds paying to certain settlement accounts. XTransfer reserves the right to offset from any settlement to you any Funds owed to XTransfer by you, including, but not limited to, all Fees payable under this agreement.
Funds can be settled in different currencies, subject to availability. If you wish to settle in different currencies, you must select the currency before the Fund can be settled into your User Bank Account. XTransfer cannot be used for foreign exchange after the settlement.
Funds may be temporarily withheld in the event when XTransfer or one of its Service Providers determines that settlement would violate applicable laws or place XTransfer or our Service Providers in excessive security, financial, or reputational risk. We also reserve the right to withheld funds if there is a recall request from the payee bank for a dispute raised. In such circumstances, we will fully investigate and you agree to co-operate with us till we conclude such investigation. Funds may also be forfeited as per the requirements of applicable laws.
You must ensure that your User Bank Account information is correct and accurate. We cannot be held responsible for Funds being sent to the wrong bank account as a result of you providing incorrect payment details. In the event when XTransfer receives inaccurate payment information which is later rejected, you may be charged fees which we can deduct from your Funds. In case of any incorrect or misdirected payment, we shall take reasonable measures to assist you with tracing and, if reasonably possible, recovering such payments, but we shall not be liable for any payments that cannot be recovered.
XTransfer may rely on third party banking counterparts or on local payment providers with whom we have payment arrangements and who are regulated in respective jurisdictions and comply with the local laws, in order to complete settlement.
The time it takes for settlement is not in XTransfer's control and it could take two to fifteen (2-15) Business Days. XTransfer offers no guarantee on the time settlement takes.
We carry out verification checks, and these checks may increase the time it takes to process your payment order. We cannot be responsible for any delays as a result of carrying out those checks.
XTransfer will initiate a settlement to your User Bank Account in the amount you selected, less any Fees that may be imposed by other Services Providers. Any fees charged by your bank are not the responsibility of XTransfer. The Funds settled to your User Bank Account will not be returned to XTransfer unless the settlement was in error/ not completed.
f)Accessing Our Services
We will try to make sure our Services are available to you when you need them. However, we do not guarantee that our Services will always be available or be uninterrupted. We may suspend, withdraw, discontinue or change all or any part of our Service without prior notice. You are responsible for making all arrangements necessary for you to have access to our Services.
The XTransfer Services are provided “as is.” XTransfer and its Service Providers hereby disclaim all warranties of any kind, express or implied, including, without limitation, the warranties of merchantability, fitness for a particular purpose and non-infringement. Neither XTransfer nor its Service Providers, makes any warranty that our Services will be error free or that access thereto will be continuous or uninterrupted. You understand that you use our Services, or otherwise obtain content, at your own discretion and risk.
6.Termination/Suspension
a)Your right to terminate service:
You may terminate your XTransfer Account with us at any time by giving us 30 days’ notice in writing. The termination notice must be sent to service@xtransfer.cn from your official email address registered on records with us. Upon the effective date of termination:
  • i) You will immediately cease all use of the XTransfer Account and return any and all copies of any documentation, notes and other materials comprising or regarding the XTransfer Account;
  • ii) All of your payment obligations under this Agreement for using Services will immediately become due and payable;
  • iii) We will promptly return any Funds of yours which we hold to your User Bank Account (it is your responsibility to keep your User Bank Account details up-to-date and accurate at all times); and
  • iv) For the avoidance of doubt, termination by either party shall not affect any provisions previously entered into and shall not relieve either party of any outstanding obligations arising out of this Agreement. All provisions of this Agreement which by their nature should survive termination including, without limitation, ownership provisions, warranty disclaimers, indemnity and limitations of liability.
b)Termination/suspension by XTransfer:
We reserve the right to terminate your XTransfer Account or any service associated with it.
We may at any time suspend or terminate your XTransfer Account without notice if:
  • i) you breach any provision of this Agreement or documents referred to in this Agreement;
  • ii) we have reason to believe you are in violation of any applicable law or regulation;
  • iii) we are requested or directed to do so by any competent court of law, government authority, public agency, or law enforcement agency;
  • iv) we have reason to believe you are involved in any fraudulent activity, money laundering, terrorism financing or other criminal and/or illegal activity;
  • v) we believe that your XTransfer Account has been compromised or for other security reasons; or we suspect your XTransfer Account has been used or is being used without your authorisation or fraudulently.
It is strictly forbidden to use the XTransfer Service for any illegal purposes including, but not limited to, fraud, bribery, money laundering or terrorism financing. You are prohibited from using the XTransfer Service in any attempt to abuse, exploit, or circumvent any law or regulation.
7.Fees
XTransfer discloses the prices for the services it offers, on the XTransfer website and informs you via your XTransfer Account. The Fees charged for the Services may be modified from time to time at XTransfer's discretion. The Service may also offer promotions in the form of refunds, discounted fees, or bonuses. If you have any questions or are unclear as to any fees, you should contact XTransfer customer support via service@xtransfer.cn.
The applicable Fees will be deducted from the balance of the Funds held on your behalf as reflected in your XTransfer Account before settlement to your User Bank Account. XTransfer will provide a statement for the Fees charged from time to time.
8.Incentive (Promotion) program
From time-to-time XTransfer will run promotional programs at their sole and absolute discretion. All such programs would have their own terms & conditions pertaining to the respective program and will be notified to you as the customer via our website and/or any other mode of communication from the company.
XTransfer reserves the right to discontinue and remove access to the referral program or to refuse a reward if we suspect violation of terms or any activity we determine as abusive. We also reserve the right to modify the incentive program at any time.

10.Limitation of our liabilities
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES WILL XTRANSFER OR ITS AFFILIATES BE LIABLE UNDER ANY THEORY OF TORT, CONTRACT, STRICT LIABILITY OR OTHER LEGAL OR EQUITABLE THEORY FOR LOST PROFITS, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, EACH OF WHICH IS EXCLUDED BY AGREEMENT OF XTRANSFER AND YOU REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR WHETHER XTRANSFER OR ANY ENTITY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING IN THIS AGREEMENT TO THE CONTRARY, XTRANSFER’S CUMULATIVE LIABILITY, INCLUDING FOR CLAIMS, EXPENSES, DAMAGES OR INDEMNITY OBLIGATIONS UNDER OR IN CONNECTION WITH ITS OBLIGATIONS UNDER THESE TERMS AND CONDITIONS, WILL NOT EXCEED THE TOTAL FEES PAYABLE BY YOU TO XTRANSFER FOR THE SERVICES, WHERE SUCH SERVICES ARE PROVIDED IN THE TWELVE (12) FULL MONTHS PRECEDING THE DATE OF THE EVENT GIVING RISE TO THE CLAIM UPON WHICH LIABILITY IS BASED. IN NO EVENT SHALL XTRANSFER, ITS AFFILIATES, AGENTS, REPRESENTATIVES, DIRECTORS, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY ACT OR OMISSION RESULTING FROM CIRCUMSTANCE BEYOND THEIR REASONABLE CONTROL.
Nothing in this Agreement excludes either party’s liability for any loss to the extent it is caused by fraud, dishonesty or deceit, death or personal injury caused by a party’s negligence or the negligence of its employees or agents or any other liability that cannot be excluded by law.
a)IT and infrastructure
We will not be liable for any loss or damage caused by a virus, or other technological attacks or harmful material that may infect your computer equipment, computer programs, data or other proprietary material related to your use of our Services.
We have no control over websites linked to and from our website and so we assume no responsibility for their content or any loss or damage that may arise from your use of them.
In case of an unauthorised settlement or mistake due to our error, we shall at your request refund the amount including all Fees deducted by us. This shall not apply:
  • i) if you do not notify us promptly of any security issues on your XTransfer Account (e.g. loss of your password), via the emergency number, which is published on our Website;
  • ii) if the transaction was unauthorised but you have compromised the security of your XTransfer Account with intent or gross negligence, or the unauthorized settlement arises from your failure to keep the personalized security features of your XTransfer Account safe, in which cases you shall be solely liable for all losses, except as otherwise required by applicable laws/regulations in respective jurisdictions.
  • iii) if you don’t let us know about the unauthorised or incorrectly completed transaction within 6 months from the date when you sent your settlement request.
Sub-clause (i) above shall not apply to settlement requests made after you have notified us via emergency number, in which case we shall remain liable and compensate any unauthorised transaction to you.
In addition, we rely on you to regularly check the transactions history of your XTransfer Account and to contact customer support immediately in case you have any questions or concerns.
In the case of any incorrect or misdirected settlement, we will use commercially reasonable efforts to help you with tracing and recovering such settlement. We (and our affiliates) cannot be liable for our inability to deliver or delay as a result of things which are outside our control.
In the unlikely event of loss or claims or costs and expenses arising out of your breach of this Agreement, any applicable law or regulation and/or your use of our Services, you agree to fully compensate us and our affiliates and hold us harmless. This provision will continue after our relationship ends.
b)Partner related
XTransfer will not be liable for the loss or damage caused by any third party Service Providers.
11.Indemnification
You agree to fully indemnify and hold harmless XTransfer and its Service Providers and their respective directors, officers, employees, and agents from and against any and all claims and expenses, including attorneys’ fees, arising out of your use of the XTransfer Services, including but not limited to your violation of this Agreement.
12.Privacy
Our primary purpose in collecting personal information is to provide you with a secure, smooth, efficient, and customized experience.
We, and our third-party service providers, automatically collect your information about your use of our Website and our online Services through cookies, web beacons, and other technologies.
We may collect and store any information you provide us when you use our Services, including when you add information on a web form, add or update your account information, participate in dispute resolutions, or when you otherwise correspond with us regarding our Services.
We may share your information with third parties, including Service Providers, regulated institutions (e.g., financial institutions), affiliated entities, and partners after obtaining your consent at account opening.

13.Changes / Modification
(a) Except as provided in sub-clause (c) below, we may change this Agreement by giving you 30 days’ prior written notice via your registered email and published on our website. If we do this, you can terminate this Agreement immediately by providing written notice to us during the notice period. If we do not hear from you during the notice period, you will be considered as having accepted the proposed changes and they will apply to you from the date the change(s) comes into effect.
(b) If you disagree with our changes, then you should not continue using the XTransfer Services after the designated notice period. Your continued use of our Services will be subject to the new terms. However, any dispute that arose before the changes shall be governed by the terms and conditions that were in place when the dispute arose.
(c) Changes to this Agreement which are (1) more favorable to you; (2) is required by law; or (3) relates to the addition of a new service or extra functionality to the existing Service; or (4) any other change which neither reduces your rights nor increase your responsibilities, will come into effect immediately if they are stated in the change notice.
14.Online Agreement
This Agreement is made available to you online via our Website when you register for the Services. By clicking the button “I Confirm” or similar button, registering, accessing or using the Services (collectively, “Indicated Consent”), you enter into a legally binding agreement with XTransfer and you agree to accept the terms and rules set out in this Agreement. In the event that after having given your Indicated Consent, you and XTransfer agree to execute a physical paper form of this Agreement, the physical paper form of this Agreement will also be valid, and be retroactively effective as of the date when you first give your Indicated Consent. In the unlikely event that there is inconsistency between the online version and physical form of this Agreement, the online version will prevail.
